1. Who We Are

These Terms of Service (“Terms”) govern your use of jjtpgroup.com (the “Site”) and any products or services offered by JJTP Group LLC, a New York limited liability company (“JJTP Group,” “we,” “us”). By using the Site, creating an account, or making a purchase, you agree to these Terms.

2. Not a Law Firm — No Legal Advice

JJTP Group LLC is not an attorney or a law firm and is not engaged in the practice of law. We do not provide legal advice or legal services except as explicitly stated in a separate written agreement. Our self-help products are software-assisted forms and information tools provided at your specific direction. Self-help forms and documents are not drafted or reviewed by a licensed attorney. Communications with JJTP Group do not create an attorney-client relationship and are not protected by attorney-client privilege.

Any legal services referenced on this Site are provided separately by JJTP Law PLLC, a professional limited liability company, and are available only in the States of New York and Pennsylvania. JJTP Group LLC and JJTP Law PLLC are separate entities. JJTP Group LLC is a wholly owned subsidiary of JJTP Law PLLC, and billing for products and services purchased on this Site is processed through JJTP Law PLLC.

We strongly recommend that you hire or consult a licensed attorney of your choosing in your state to review any documents or services provided before you rely on them. You expressly acknowledge that the self-help products are legal forms and self-help services, not legal advice, and that you are responsible for your selections and the information you provide.

3. Third-Party Sourced Services

Certain services offered on this Site — including trademark and service mark search, watch and monitoring reports — are prepared with the assistance of, or sourced from, specialized third-party research providers and are delivered under the JJTP Group brand. These third-party providers currently include Markify (trademark and service mark search, clearance, watch and monitoring reports), Signa Technologies AS (Free Trademark Search), and New York LLC Publishing (New York LLC statutory publication requirement filings). By purchasing, you acknowledge and agree that such services incorporate third-party data and work product, that results are not guaranteed to be exhaustive, and that you agree to hold JJTP Group LLC harmless from any claim arising out of or relating to such third-party-sourced services, to the fullest extent permitted by law.

4. Accounts, Purchases and Payments

You may need an account to save your work or access purchased documents. You are responsible for the accuracy of information you provide and for safeguarding your credentials. Prices are as stated at checkout; where a price is listed as “call to inquire,” a quote will be provided before you are charged. Payments are processed by third-party payment processors; we do not store your credit card information. Except as required by law or expressly stated, purchases of downloadable documents and completed reports are non-refundable once delivered.

5. Referrals and Referral Fees

If we refer you to an attorney or law firm other than JJTP Law PLLC, that referral may involve a referral fee paid to JJTP Group LLC and/or JJTP Law PLLC. Any such arrangement will comply with applicable rules, including the New York Rules of Professional Conduct and the Pennsylvania Rules of Professional Conduct, which may require your informed consent and that any fee division be disclosed to you. You will always be free to choose your own counsel.

6. Intellectual Property

The Site, its content, and all templates, questionnaires and reports are owned by or licensed to JJTP Group LLC and are protected by intellectual property laws. Your purchase grants you a personal, non-exclusive license to use the delivered document or report for your own purposes; it does not transfer ownership of underlying templates or systems. JJTP® and the JJTP mark are registered trademarks of JJTP Law PLLC, used with permission.

7. Acceptable Use

You agree not to misuse the Site, including by attempting to access others’ data, reselling services without authorization, scraping, introducing malicious code, or using the services for unlawful purposes.

8. Disclaimers and Limitation of Liability

THE SITE AND ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE. TO THE FULLEST EXTENT PERMITTED BY LAW, JJTP GROUP LLC AND ITS MEMBERS, OFFICERS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, AND OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM. YOU OTHERWISE WAIVE ANY LIABILITY OF JJTP GROUP LLC ARISING FROM YOUR USE OF SELF-HELP PRODUCTS TO THE FULLEST EXTENT PERMITTED BY LAW. Some jurisdictions do not allow certain limitations, so portions may not apply to you.

9. Arbitration Agreement

Please read carefully — this affects your rights. Any dispute, claim or controversy arising out of or relating to these Terms, the Site, or any product or service (a “Dispute”) shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable. The arbitration shall be conducted by a single arbitrator, seated in Westchester County, New York (or conducted remotely by agreement), and judgment on the award may be entered in any court of competent jurisdiction. You and JJTP Group each waive the right to a jury trial and to participate in a class action. Either party may bring an individual claim in small claims court instead. This Section does not apply where prohibited by law.

10. Governing Law

These Terms and any Dispute are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Subject to the arbitration agreement above, the state and federal courts located in New York shall have exclusive jurisdiction.
